Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the Pagebla platform and services provided by Pagebla Automation Ltd, a company registered in England and Wales with its registered address at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ ("we", "us", "our").

By creating an account or using our services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or organisation, you confirm that you have the authority to bind that entity.

2. Service Description

Pagebla is an AI pipeline automation platform designed for UK small and medium-sized enterprises. Our service enables businesses to automate workflows for tenders, recruitment, enquiries, and other operational processes using configurable AI pipelines.

We provide the platform on a software-as-a-service basis. Features, integrations, and capabilities may be updated, modified, or expanded over time. We will provide reasonable notice of any material changes that affect your use of the service.

3. Account Registration

To use our service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us promptly at info@pagebla.com if you become aware of any unauthorised use of your account.

Accounts are for business use. Each account is associated with a single organisation. You may not share account credentials across organisations or resell access to the platform without our written agreement.

4. Free Trial

We offer a free trial period of two months from the date of account activation. No credit card or payment details are required to start the trial.

During the trial, you will have access to the platform features as described at the time of registration. We reserve the right to modify the scope of trial features with reasonable notice.

At the end of the trial period, you may choose to subscribe to a paid plan. If you do not subscribe, your account may be suspended. We will provide at least 14 days' notice before deleting any data associated with an expired trial account.

5. Subscription and Payment

Paid subscriptions are billed on the terms agreed at the point of purchase. Fees are exclusive of VAT unless otherwise stated.

We may adjust pricing with at least 30 days' written notice before your next billing period. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect.

Unless otherwise agreed, subscriptions renew automatically. You may cancel at any time, and cancellation will take effect at the end of the current billing period.

6. Acceptable Use

You agree to use the platform lawfully and in accordance with these Terms. You must not:

Use the service for any unlawful purpose or in violation of any applicable law or regulation.

Attempt to gain unauthorised access to any part of the platform, other accounts, or systems connected to our service.

Introduce viruses, malware, or any other harmful code.

Use the service to process personal data in a manner that violates the UK GDPR or other applicable data protection legislation without appropriate safeguards in place.

Interfere with or disrupt the platform or servers, or impose an unreasonable load on our infrastructure.

Reverse-engineer, decompile, or disassemble any part of the platform.

We reserve the right to suspend or terminate your account if you breach these terms.

7. Your Data

You retain ownership of all data you upload, input, or generate through the platform ("Your Data"). We do not claim any intellectual property rights over Your Data.

You grant us a limited licence to process, store, and transmit Your Data solely to provide and improve the service.

We will handle Your Data in accordance with our Privacy Policy and, where applicable, any Data Processing Agreement entered into between us.

You are responsible for ensuring that you have the necessary rights and permissions to upload and process any data through our platform, including any personal data.

8. Data Processing

Where we process personal data on your behalf as a data processor under the UK GDPR, we will do so in accordance with a Data Processing Agreement (DPA) which shall be made available upon request or at the point of subscription.

Your Data is hosted on UK-based servers. We will not transfer Your Data outside the United Kingdom without your prior written consent and appropriate safeguards.

We implement appropriate technical and organisational measures to protect Your Data against unauthorised access, loss, or destruction.

9. Intellectual Property

The platform, including its software, design, documentation, and all associated intellectual property rights, remains the property of Pagebla Automation Ltd.

We grant you a non-exclusive, non-transferable, revocable licence to access and use the platform for your internal business purposes during the term of your subscription.

You may not copy, modify, distribute, or create derivative works based on our platform or any part of it without our prior written consent.

Feedback, suggestions, or improvement ideas you provide to us may be used by us without obligation or compensation.

10. Service Availability

We aim to keep the platform available at all times but do not guarantee uninterrupted access. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our reasonable control.

We will endeavour to provide advance notice of planned maintenance where possible.

We are not liable for any loss or damage resulting from service interruptions, provided we have taken reasonable steps to minimise disruption.

11. Limitation of Liability

To the maximum extent permitted by law:

Our total aggregate liability arising out of or in connection with these Terms and your use of the service shall not exceed the total fees paid by you in the twelve months preceding the event giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunity, even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

You acknowledge that the platform uses artificial intelligence and automated processes. While we strive for accuracy, AI-generated outputs may contain errors. You are responsible for reviewing and validating any outputs before relying on them for business decisions.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the platform, or your violation of any applicable law or third-party rights.

13. Termination

Either party may terminate the agreement by providing 30 days' written notice.

We may suspend or terminate your account immediately if you materially breach these Terms and fail to remedy the breach within 14 days of written notice.

Upon termination, we will make Your Data available for export for a period of 30 days. After this period, we will delete Your Data from our systems, except where retention is required by law.

Termination does not affect any rights or obligations that have accrued prior to the termination date.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a notice on the platform at least 30 days before the changes take effect.

Your continued use of the service after the changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you may terminate your account before the new Terms come into effect.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before commencing legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation.

16. General

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

These Terms constitute the entire agreement between you and Pagebla Automation Ltd regarding your use of the service, superseding any prior agreements.
